Terms of Service

1. Eligibility

You must be at least 13 years old to use the Service. By using the Service you confirm that you meet this requirement and that you have the legal capacity to enter into these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

2. Your account

You are responsible for safeguarding the credentials you use to access the Service and for any activity that takes place under your account. You agree to provide accurate information when you sign up and to keep that information up to date. Notify us at support@focusr.co as soon as you become aware of any unauthorised use of your account.

You may close your account at any time from within the iOS app or by contacting us. We may suspend or terminate your account if you breach these Terms or if we are required to do so by law.

3. Subscriptions, billing, and trials

Some features of the Service require a paid subscription. Pricing, billing frequency, and any free trial details are shown in the Service before you subscribe. Subscriptions automatically renew at the end of each billing period until you cancel.

Web subscriptions are processed by Stripe. You can cancel a web subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period and you retain access to paid features until then.

iOS subscriptions are processed by Apple via the App Store and are governed by Apple's terms in addition to these Terms. To cancel an iOS subscription, manage it from your Apple ID in the iOS Settings app or the App Store. We do not process refunds for App Store purchases; refund requests must be made to Apple.

Free trials, where offered, automatically convert to a paid subscription at the listed price unless you cancel before the trial ends. Outside of legally required refunds, payments are non-refundable, and any partial period after cancellation is not refunded.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorised access to the Service, other users' accounts, or any related systems or networks.
• Interfere with, disrupt, or place an unreasonable load on the Service, including via automated scraping, denial-of-service techniques, or excessive API requests.
• Reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent expressly permitted by applicable law.
• Upload, store, or transmit content that is unlawful, infringing, defamatory, harassing, or that contains malware.
• Use the Service to develop a competing product.
• Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.

5. Your content

You retain all rights in the content you create or upload through the Service (including tasks, projects, schedules, notes, and assistant conversations) ("Your Content"). You grant Focusr a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and process Your Content solely as needed to provide and improve the Service for you. We do not claim ownership of Your Content.

You are responsible for Your Content and for ensuring that you have the rights to submit it and that it complies with these Terms.

6. AI features

The Service includes features that use third-party large language models (currently provided by OpenAI) to generate suggestions, schedules, and assistant responses. AI-generated output may be inaccurate, incomplete, or otherwise inappropriate for your use. You are responsible for reviewing and verifying any AI-generated content before relying on it. We do not warrant the accuracy of AI-generated output.

7. Our intellectual property

The Service, including all software, design, branding, text, and other materials (other than Your Content), is owned by Focusr or its licensors and is protected by intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. No other rights are granted.

8. Third-party services

The Service relies on third-party providers (including Google Firebase, Apple, Stripe, OpenAI, and others listed in our Privacy Policy). Your use of those third-party services may be subject to their own terms. We are not responsible for third-party services and do not endorse any third-party content accessed through the Service.

9. Beta and experimental features

We may make beta, preview, or experimental features available from time to time. These features are provided "as is", may change or be removed without notice, and may not work as intended. They are not subject to any service-level commitment.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure, or that any data will be preserved without loss. You use the Service at your own risk. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

11. Limitation of liability

To the maximum extent permitted by law, Focusr will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to Focusr for the Service in the twelve months preceding the event giving rise to the liability, or (b) GBP £100. These limitations apply on an aggregate basis, regardless of the number of claims. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless Focusr and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms, if we discontinue the Service, or if we are required to do so by law.

Sections that by their nature should survive termination (including ownership provisions, disclaimers, limitations of liability, and dispute resolution) will survive.

14. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms we will revise the "Last updated" date at the top of this page and, where appropriate, notify you through the Service or by email. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of England and Wales have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or the Service, except that consumers may have the right to bring proceedings in the courts of their country of residence as required by mandatory local law.

16. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Focusr regarding the Service. If any provision is held to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
